Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Obelisk Agency SRL, a company registered in Romania, European Union ("Company," "we," "us," or "our"), governing your access to and use of the MYZO digital business card platform, including our website, applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Eligibility

To use the Service, you must:

• Be at least 16 years of age in the European Economic Area, or 13 years of age in other jurisdictions
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Not have been previously banned from the Service

By using the Service, you represent and warrant that you meet all eligibility requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or remain inactive for extended periods.

4. User Content

4.1 Your Content

The Service allows you to create, upload, share, and display content including but not limited to profile information, text, images, links, and embedded media ("User Content"). You retain all ownership rights to your User Content.

4.2 License to MYZO

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content solely for the purpose of operating, providing, and improving the Service. This license ends when you delete your User Content or account, except where your content has been shared with others who have not deleted it.

4.3 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to use and authorize us to use your User Content
• Your User Content does not infringe any third-party rights, including intellectual property, privacy, or publicity rights
• Your User Content complies with all applicable laws and these Terms

4.4 User-Generated Content Disclaimer

MYZO is a platform that hosts user-generated content. We do not endorse, verify, or guarantee the accuracy, completeness, or reliability of any User Content. The views expressed in User Content are those of the individual users and do not represent the views of Obelisk Agency SRL or MYZO.

4.5 Connection Activity

The Service lets you save other users' public profiles to your personal "Connections" list. Saving a profile is private by default, the user you save is NOT notified. You can choose to share this activity with the recipient by enabling the "Let people know when I add them" setting in your privacy controls. When enabled, the user you save receives an in-app notification containing your display name and a link to your public profile. This setting is OFF by default and applies only to future saves (it does not retroactively notify users you saved earlier).

You can disable other users' ability to save you to their connections at all by turning off the "Allow connections" setting on your profile. See our Privacy Policy for more detail on what data is shared in connection notifications.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

5.1 Illegal and Harmful Content

• Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Share content that promotes violence, discrimination, or hatred against individuals or groups
• Distribute child sexual abuse material or content that exploits minors
• Post content that promotes illegal activities, including drug trafficking, weapons sales, or fraud
• Share malware, viruses, or other malicious code

5.2 Deceptive Practices

• Impersonate any person or entity, or falsely represent your affiliation
• Create fake profiles or use the Service to deceive others
• Engage in phishing, scams, or fraudulent schemes
• Post misleading or false information
• Use the Service for pyramid schemes or multi-level marketing without disclosure

5.3 Intellectual Property Violations

• Infringe on any patent, trademark, copyright, or other proprietary rights
• Share content you do not have the right to distribute
• Remove or alter any copyright, trademark, or proprietary notices

5.4 Technical Abuse

• Attempt to gain unauthorized access to the Service, other accounts, or computer systems
• Use automated scripts, bots, or scrapers to access the Service without permission
• Interfere with or disrupt the Service or servers/networks connected to it
• Circumvent any security measures or access controls
• Reverse engineer, decompile, or disassemble any part of the Service

5.5 Spam and Manipulation

• Send unsolicited messages or spam
• Artificially inflate profile views or analytics
• Create multiple accounts to evade restrictions
• Use the Service primarily to redirect users to external sites for commercial gain without adding value

6. Content Moderation and Enforcement

We reserve the right, but are not obligated, to:

• Monitor, review, or edit User Content
• Remove or disable access to any User Content that violates these Terms
• Suspend or terminate accounts that violate these Terms
• Report illegal activity to appropriate authorities
• Cooperate with law enforcement investigations

Users may report violations using the report function available on profiles. We investigate reports and take appropriate action, which may include content removal, warnings, or account termination.

7. Intellectual Property Rights

The Service, including its original content, features, functionality, design, and branding (excluding User Content), is owned by Obelisk Agency SRL and is protected by copyright, trademark, and other intellectual property laws.

The MYZO name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Obelisk Agency SRL. You may not use such marks without our prior written permission.

We respect intellectual property rights and expect our users to do the same. If you believe your intellectual property has been infringed, please contact us at legal@myzo.link with details of the alleged infringement.

8. Subscription Plans and Payments

8.1 Free and Paid Plans

MYZO offers free and paid subscription plans. Free plans provide basic features. Paid plans (Pro, Business) include additional features such as custom domain support (host your card at a domain you own), custom contact form templates, extended analytics retention, custom contact categories, and additional customization options. See our pricing page for the complete and current feature comparison; specific features and limits may change as the Service evolves.

8.2 Billing and Payments

Paid subscriptions are billed in advance on a recurring basis (monthly or annually). Payment is processed securely through Lemon Squeezy, our third-party payment processor. By subscribing, you authorize us to charge your payment method for all fees associated with your subscription.

8.3 Price Changes

We may modify subscription prices at any time. Price changes will not affect current billing periods and will take effect at the next renewal. We will provide advance notice of price changes.

8.4 Free Trial

Paid plans may include a 14-day free trial period. During the trial, you have full access to all paid features. Your payment method will be charged at the end of the trial period unless you cancel before the trial expires. You may cancel your trial at any time through your account settings or by contacting support.

8.5 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. Refunds are generally not provided for partial billing periods, except as required by law or at our discretion.

EU consumers have a 14-day right of withdrawal from the date of purchase for digital services, unless you have expressly consented to immediate performance and acknowledged waiving this right.

9. Third-Party Services and Links

The Service may contain links to third-party websites, embedded content, or integrations with third-party services. These third-party services are not under our control, and we are not responsible for their content, privacy practices, or availability.

Your interactions with third-party services are governed by their respective terms of service and privacy policies. We encourage you to review these policies before using third-party services.

The inclusion of third-party links or embeds does not imply endorsement by MYZO. Users are responsible for ensuring their use of third-party content complies with applicable terms and licenses.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• The results of using the Service will meet your requirements

Any content downloaded or obtained through the Service is at your own risk, and you are solely responsible for any damage to your device or loss of data.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OBELISK AGENCY SRL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, use, or goodwill
• Business interruption
• Costs of procurement of substitute services
• Any damages arising from User Content or third-party conduct

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or fifty euros (EUR 50), whichever is greater.

These limitations apply regardless of the legal theory on which the claim is based and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of liability, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Obelisk Agency SRL and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws

13. Termination

You may terminate your account at any time by deleting it through your account settings. Upon termination, your right to use the Service will immediately cease.

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Conduct that we determine is harmful to other users, us, or third parties
• Extended periods of inactivity
• Requests by law enforcement or government agencies

Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.

For EU consumers: You benefit from mandatory provisions of consumer protection laws in your country of residence. Nothing in these Terms affects your rights as a consumer under such laws.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be submitted to the competent courts of Romania, except where EU consumer protection laws grant you the right to bring proceedings in your country of residence.

EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Obelisk Agency SRL regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, or internet service disruptions.
